1. Introduction
Welcome to TripaCash Ltd. ("TripaCash," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our platform, products, and services (collectively, the "Services"). By registering for or using our Services, you agree to be bound by these Terms and all applicable laws and regulations, including but not limited to Nigerian laws and regulations such as the Central Bank of Nigeria (CBN) guidelines and Nigeria Data Protection Regulation (NDPR). Please read these Terms carefully. If you do not agree, do not use our Services.
2. Eligibility and Account Registration
You must be at least 18 years old, or have reached the age of majority in your jurisdiction, to use TripaCash Services. Registration requires you to provide accurate, current, and complete information and to maintain and promptly update your information. Account registration is required for all users, including individuals, businesses, and entities using POS services.
3. Types of Accounts
3.1 Individual User Accounts
These are personal accounts for individuals using TripaCash to send, receive, and manage funds, access payment services, and utilize other personal finance tools.
3.2 Business Accounts
These accounts are for registered businesses and organizations using TripaCash to manage payroll, payments, collections, and business-related financial transactions.
3.3 POS Agent Accounts
POS Agents are authorized individuals or entities responsible for distributing, managing, and supporting POS Machines on behalf of TripaCash. Agents must comply with all applicable regulatory requirements, including Know Your Customer (KYC), Anti-Money Laundering/Combating the Financing of Terrorism (AML/CFT), and operational standards. POS Agents play a critical role in ensuring POS devices are deployed, maintained, and operated correctly.
3.4 Merchant POS Accounts
Merchant POS Accounts represent merchants who accept payments via POS Machines. Merchants are responsible for all POS transactions conducted on their devices and must comply with TripaCash policies, Nigerian financial regulations, and consumer protection laws.
4. Description of Services
TripaCash offers a range of financial and payment services, including but not limited to:
- Digital wallets for individuals and businesses.
- Payment processing through online and physical POS devices.
- Transaction settlement and reconciliation.
- Compliance with Nigerian regulatory requirements including CBN, NDPR, and AML/CFT laws.
- Customer service and dispute resolution.
- POS device management, including installation, activation, maintenance, and support.
5. Account Security and User Responsibilities
5.1 General Users
You are responsible for maintaining the confidentiality of your login credentials and all activity on your account. You agree to notify TripaCash immediately of any unauthorized use or breach of security.
5.2 POS Machines and Devices
Owners and operators must ensure physical and cyber security of POS devices. Any loss, theft, or suspected compromise must be reported immediately to TripaCash.
5.3 POS Agents
Agents must ensure POS devices are properly deployed, maintained, and supported. They are responsible for training merchants on device usage and compliance with applicable laws and policies. Agents must report any suspicious or fraudulent activities immediately.
5.4 Merchants
Merchants are responsible for ensuring the secure use of POS devices at their premises, training staff, and complying with TripaCash and regulatory requirements.
6. User Conduct and Obligations
Users must not:
- Use the Services for illegal purposes or unauthorized transactions.
- Engage in fraudulent or deceptive conduct.
- Abuse or tamper with the Service or devices.
- Violate intellectual property rights.
- Circumvent security or compliance mechanisms.
POS Agents and Merchants are similarly bound by these rules and must ensure their activities and those of their customers comply fully.
7. Payments and Transactions
Transactions processed through TripaCash, including POS transactions, are subject to transaction limits, fees, and settlement timelines as communicated to users. Disputes, refunds, or chargebacks will be handled according to TripaCash policies and Nigerian law.
8. Privacy and Data Protection
TripaCash collects, processes, stores, and transfers personal data in strict compliance with the Nigeria Data Protection Regulation (NDPR) and other applicable data privacy laws. Users' personal and transactional data are protected using industry-standard security protocols, and users have rights regarding their data, including access, correction, and deletion, subject to legal and regulatory requirements.
9. Intellectual Property Rights
All intellectual property rights in the Services, platform, and content belong to TripaCash or its licensors. Users may not copy, modify, distribute, or otherwise exploit TripaCash intellectual property without express written permission.
10. Limitation of Liability and Disclaimers
TripaCash provides the Services "as is" and disclaims all warranties to the fullest extent permitted by law. We do not guarantee uninterrupted or error-free operation. We are not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Services, except as required by law.
11. Regulatory Compliance
TripaCash complies fully with Nigerian financial regulations, including:
- Central Bank of Nigeria (CBN) regulations and circulars.
- Nigeria Inter-Bank Settlement System (NIBSS) guidelines and standards, which govern payment systems licensing and operation oversight.
- Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) laws.
- Nigeria Data Protection Regulation (NDPR).
POS Agents, Merchants, and users agree to adhere to these regulations and cooperate with any audits, investigations, or compliance requests.
12. Termination and Suspension
TripaCash reserves the right to suspend or terminate any account or service, including POS accounts, for violation of these Terms, suspected fraud, regulatory non-compliance, or other reasons at our sole discretion. Upon termination, users must cease use of Services, and all outstanding balances and obligations remain payable.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising will be subject to the exclusive jurisdiction of Nigerian courts or resolved through alternative dispute resolution methods where applicable.
14. Changes to Terms
We may update these Terms periodically. Notice of changes will be provided on our website or via email. Continued use after changes indicates acceptance.
15. Miscellaneous
Severability: If any provision is invalid or unenforceable, the remainder remains effective.
Assignment: Users may not assign their rights or obligations without TripaCash consent.
Entire Agreement: These Terms, Privacy Policy, and other relevant policies constitute the entire agreement.
